30 December 2025                                Blencowe Resources Plc ("Blencowe" or the "Company")   Issue of DFS Performance Shares   Blencowe Resources Plc (LSE: BRES) announces that it has issued 12,000,000 DFS Performance Shares. The DFS Performance Options have now vested following the completion and publication of the company's Definitive feasibility Study on 1 December 2025. Accordingly, the Company is now required to issue 12,000,000 new ordinary shares as set out below (the "DFS Performance Shares"). Each holder of the DFS Performance Shares has agreed to a lock up for a period of 12 months from Admission.

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company confirms that following Admission, the Company's enlarged issued ordinary share capital will comprise 475,670,465 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury.
