Transfer of Treasury Shares

ITV plc (the "Company")   TRANSFER OF TREASURY SHARES In accordance with UK Listing Rule 9.8.2, the Company announces that on 22 December 2025 it transferred 35 million ordinary 10 pence shares ("Shares") from its treasury account to the ITV Employees Benefit trust to satisfy awards granted under the Company's Executive Share Plan and Sharesave scheme for nil consideration. Following the above transfer of treasury Shares, the Company's issued capital consisted of 3,858,668,496 Shares of which 65,479,277 Shares are held in treasury. Therefore, the total number of Shares with full voting rights in the Company at the above date was 3,793,189,219 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.    Enquiries: For further details, please contact:
